Requisitioned Extraordinary General Meeting
On 6th March 2007, Cyprotex PLC (“the Company”) published
a notice of an extraordinary general meeting (“the EGM”)
which had been requisitioned by Professor David Leahy and Mr Robert
Long (“the Requisitionists”) to propose resolutions to
remove the current Directors (“the Board”) and to appoint
themselves plus two other nominees with immediate effect (“the
Requisition”).
The EGM is convened for 2nd April 2007, at 10.30am at the offices
of Wedlake Bell, 52 Bedford Row, London WC1R 4LR.
In the notice convening the EGM, the Board reported that it had received
irrevocable undertakings to support them against the Requisition from
shareholders holding an aggregate of 26,280,942 shares which in turn
represents 18.96 per cent of the Company and non-binding indications
of support from shareholders holding an aggregate of a further 39,015,098
shares representing a further 28.15 per cent of the Company.
The Board is pleased to announce that it now holds irrevocable undertakings
and proxies from shareholders (including the Board) holding in aggregate
62,646,096 shares which in turn represents 45.208 per cent of the
Company.
A further announcement about the EGM will be made in due course.
In the meantime, all shareholders should by now have received the
notice of the EGM together with the form of proxy for use at the EGM.
This form of proxy is the form shareholders can use to have their
say by voting on the resolutions contained in the notice of EGM (“the
Resolutions”). The Board is recommending that all shareholders
vote against all Resolutions. By doing so, shareholders will be supporting
the Board and a large percentage of the Company’s shareholders.
Forms of proxy should be completed and signed in accordance with
the instructions printed thereon and returned to Capita Registrars,
Proxy Processing Centre, Telford Road, Bicester 0X26 4LD so as to
arrive as soon as possible and in any event not later than 10.30am
on Saturday 31st March 2007.
Every shareholders vote is important and the Board welcomes the continuing
support from all shareholders.
